End-User License Agreement

Effective date: March 4, 2026

This End-User License Agreement ("Agreement") is a legal agreement between you ("User") and Victory AV, LLC ("Licensor"), operating as Memloft, for the use of Memloft Books and related services ("Software").

By using the Software, you agree to be bound by this Agreement. If you do not agree, do not use the Software.

1. License Grant

Subject to this Agreement, Licensor grants you a limited, non-exclusive, non-transferable, revocable license to use the Software for your personal or business purposes in connection with your QuickBooks Online account.

2. Restrictions

You may not:

• Copy, modify, or distribute the Software except as expressly permitted
• Reverse engineer, decompile, or disassemble the Software
• Rent, lease, lend, or sublicense the Software to any third party
• Use the Software for any unlawful purpose or in violation of any applicable laws
• Remove or alter any proprietary notices on the Software

3. Third-Party Services

The Software integrates with third-party services, including Intuit QuickBooks Online. Your use of third-party services is governed by their respective terms and conditions. Licensor is not responsible for the operation, availability, or content of any third-party service.

4. Data Access and Privacy

The Software accesses financial data from your connected QuickBooks Online account solely to provide its features. We handle your data in accordance with our Privacy Policy. You may revoke access at any time by disconnecting the Software from your QuickBooks account.

5. Intellectual Property

The Software and all associated intellectual property rights are owned by Victory AV, LLC. This Agreement does not transfer any ownership rights to you. You retain ownership of all data accessed through your connected accounts.

6. Disclaimer of Warranties

The Software is provided "as is" without warranty of any kind, express or implied, including but not limited to the warranties of merchantability, fitness for a particular purpose, and non-infringement. Licensor does not warrant that the Software will be error-free or uninterrupted.

7. Limitation of Liability

In no event shall Victory AV, LLC be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or in connection with the use of the Software.

8. Termination

This Agreement is effective until terminated. You may terminate it at any time by ceasing to use the Software and disconnecting all linked accounts. Licensor may terminate this Agreement if you breach any of its terms.

9. Governing Law

This Agreement is governed by the laws of the State of Arkansas, United States, without regard to conflict of law principles.
